Defined Terms

"Qualifyr," "we," "us," or "our" refers to the Qualifyr platform and its operators. "Service" refers to the lead qualification and booking platform, including all related software, APIs, and websites. "You" or "User" refers to any individual or entity using the Service. "Professional" refers to a service provider who creates an account to receive bookings through the Service. "Client" refers to an individual who submits a qualification form or makes a booking through a Professional's page. "Stripe" refers to Stripe, Inc., our payment processor, which acts as the Merchant of Record for subscription charges.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Qualifyr.

2. Description of Service

Qualifyr is a lead qualification and booking platform designed for independent service professionals. The Service enables Professionals to share a public booking page, collect client information through pre-configured qualification questions, accept deposits, and manage bookings — all without back-and-forth direct messages.

3. Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately if you believe your account has been compromised
• Be responsible for all activities that occur under your account

4. Payment Processing via Stripe

Subscription payments processed through Qualifyr are handled by Stripe, which acts as the Merchant of Record. This means:

• Stripe is the seller and reseller of all subscription services offered through the Qualifyr platform
• Stripe handles all payment processing, billing, invoicing, and sales tax collection and remittance
• Stripe processes refunds and handles chargebacks in accordance with their policies
• Your purchase is subject to Stripe's Services Agreement and Privacy Policy

Qualifyr is not responsible for payment processing, billing disputes, or subscription refund requests — these are managed directly by Stripe. For payment-related inquiries, please contact Stripe or visit stripe.com.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service or its related systems
• Transmit any viruses, malware, or other harmful code
• Use the Service to send unsolicited communications (spam)
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Collect or harvest personal data of other users without their consent

6. Intellectual Property

The Service and its original content, features, functionality, and design are owned by Qualifyr and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain ownership of any content you submit through the Service (including your profile information, service listings, and client data). By using the Service, you grant us a limited license to host, store, and display that content solely for the purpose of providing the Service to you.

7. Data Processing

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to such processing and you warrant that all data provided by you is accurate.

8. Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuance of the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Qualifyr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our aggregate liability exceed the amount you paid us, if any, in the past six months for the services giving rise to the claim.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Qualifyr and its affiliates, officers, agents, and employees from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved in the courts of the jurisdiction in which Qualifyr operates, unless applicable law requires otherwise.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Effective date" above. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Qualifyr operates, without regard to its conflict of law principles.
